Important Terms and Conditions
of THEBESTLADYBUGHOUSE ™ General Membership
This Membership Agreement sets forth the terms for your general membership in THEBESTLADYBUGHOUSE ™ . Please read it carefully before you agree to become or remain a member. Please note that becoming or remaining a general member does not mean that you will automatically meet the criteria for joining future services offered by THEBESTLADYBUGHOUSE ™ . If you are notified that you may join such services, you will need to review and agree to the terms of a separate Agreement before doing so.
PLEASE READ THE ENTIRE MEMBERSHIP AGREEMENT SET OUT IN THE PAGES BELOW AND OUR PRIVACY POLICY BEFORE PROCEEDING. IF YOU DO NOT AGREE TO ALL THE TERMS OF THIS MEMBERSHIP AGREEMENT INCLUDING OUR PRIVACY POLICY, THEBESTLADYBUGHOUSE ™ IS UNWILLING TO LET YOU BECOME OR REMAIN A MEMBER OF THEBESTLADYBUGHOUSE ™ . THEBESTLADYBUGHOUSE ™ at its sole discretion and for any or no reason may refuse to accept applications for membership. THIS MEMBERSHIP AGREEMENT IS AN AT-WILL AGREEMENT MEANING THAT EITHER PARTY MAY TERMINATE OR END THE RELATIONSHIP, INCLUDING ANY RIGHTS, DUTIES OR OBLIGATIONS AT ANY TIME AND FOR ANY REASON OR NO REASON UPON NOTICE AS SET FORTH HEREIN. ™

If you are under 13 years old and live in the United States, under 20 years old and live in Japan, or under 18 years old and live in any other country other than the United States or Japan, you need to obtain the consent of your parent(s) or guardian(s) before applying for THEBESTLADYBUGHOUSE ™ membership. This General Membership Agreement ("Membership Agreement") between you ("You" or "Member") and THEBESTLADYBUGHOUSE ™ , a corporation formed under the laws of Hong Kong S.A.R. P.R.C ("THEBESTLADYBUGHOUSE ™ "), sets out the terms of your membership in THEBESTLADYBUGHOUSE ™ ("Membership"). You must read, understand and agree to the terms and conditions of this Membership Agreement by clicking "I Accept." If You do not agree to all the terms and conditions of this Membership Agreement including our Privacy Policy, THEBESTLADYBUGHOUSE ™ is unwilling to allow You to become a Member. You should click on the "I Decline" button if You wish to indicate that You do not accept or agree to the terms and conditions of this Membership Agreement and choose not to become a Member.
If You receive notice that qualify for other THEBESTLADYBUGHOUSE ™ services, You will need to review and agree to the terms of a separate agreement prior to using those services. That Agreement will then supersede and replace this Membership Agreement.

Our goal is to take advantage of Internet technology to enable businesses to interact with consumers in highly personalized ways without forfeiting the privacy of the consumer. Disclosures of Your Information. We do not give, sell, rent, share, or trade any identifiable personal information regarding our members to any third party, with the exception of third-party contractors or service providers, such as ad serving partners, stock brokerage and fulfillment services, and the Internet technology companies who work with THEBESTLADYBUGHOUSE ™ to provide other services, and who are contractually prohibited from other use of the information. In addition, We may d(TPMC)lose non-personally identifiable or identifying information about You to customers, partners, or other third parties in order to deliver targeted lady-bugs linked to this site that you click on or requested in emails. You authorize THEBESTLADYBUGHOUSE ™ to use or d(TPMC)lose such information in accordance with the terms of this Agreement. We can - and you authorize us to - d(TPMC)lose your personal information to law enforcement officials when required to do so or when We believe in good faith that it is necessary for compliance with a legal obligation. As a matter of policy We intend to oppose non-governmental third party efforts to obtain by subpoena or other legal process any personal information about our members.
Consent to Collect and Process Your Information, including Personal Data. We collect and process information about You in order to provide to You the services described in this Agreement. Certain information such as your name, address, email address, and birth date constitute "personal data" because that information can be used to directly or indirectly identify You ("Personal Data"). This information is also protected under our Privacy Policy. IF YOU ARE NOTIFIED THAT YOU ARE ABLE TO JOIN OTHER SERVICES, YOU WILL NEED TO CONSENT TO THEBESTLADYBUGHOUSE ™ USING YOUR INFORMATION, INCLUDING PERSONAL DATA, IN ACCORDANCE WITH THIS PRIVACY POLICY AND THE TERMS OF THIS MEMBERSHIP AGREEMENT. At all times, You have the option to enter and exit other services at any time and for any length of time. During the time that You have elected to activate other services You consent to our recording of data about your Internet activity that will be used by THEBESTLADYBUGHOUSE ™ in accordance with this policy. Furthermore, members may be provided opportunities to opt-in to other marketing and promotional programs provided by our advertisers through our website, participation in which may be governed by privacy practices and terms different from those provided to You by THEBESTLADYBUGHOUSE ™ .
THEBESTLADYBUGHOUSE ™ . All information collected as a result of your subscription to other services and participation in the THEBESTLADYBUGHOUSE ™ community ("Membership") will be initially controlled by THEBESTLADYBUGHOUSE ™ . THEBESTLADYBUGHOUSE ™ will engaged the services of a third party Mediation Company (TPMC) to solve disputes rather than Civil or Jury trail services. The third party Mediation Company will be available upon written request by Disputing customers, agents or affiliates. This third party Mediation Company will provide management services and operational support to THEBESTLADYBUGHOUSE ™ . You agree that THEBESTLADYBUGHOUSE ™ may transfer or share your information to (TPMC) and any service providers engaged by (TPMC) on behalf of THEBESTLADYBUGHOUSE ™ as part of your Membership and this Membership Agreement. THEBESTLADYBUGHOUSE ™ will only transfer or share information for purposes outlined in this Membership Agreement, and at all times THEBESTLADYBUGHOUSE ™ will follow its privacy-related practices, and require (TPMC) and its service providers to ensure the security and confidentiality of your personal information consistent with the terms of this Agreement.
International Transfers. THEBESTLADYBUGHOUSE ™ utilizes data centers and information storage systems in many parts of the world. Therefore, You agree that your information, including your Personal Data, can and will be transferred to THEBESTLADYBUGHOUSE ™ facilities that may be operated outside of your country. You are hereby notified that the laws protecting your information vary from country to country, and in some cases the privacy protections afforded to you by the laws of your own country may be greater than those provided under law elsewhere. THEBESTLADYBUGHOUSE ™ will protect your information wherever We process or store it by adhering to its privacy-related practices and by complying with applicable data protection laws. You hereby give your consent to such transfers of your information, including your Personal Data, as set forth in this Membership Agreement. Online Registration Form. In the online registration form on its websites, THEBESTLADYBUGHOUSE ™ requires You to provide your full name, full street address, email address and a password. In addition, THEBESTLADYBUGHOUSE ™ may require additional identifying information so that We may identify You if You ever lose your password. THEBESTLADYBUGHOUSE ™ will process this information to determine your eligibility for other services, administer your Membership, provide other services and provide You with other benefits of Membership. Depending on which services you use to make your purchase

If We reasonably believe that an account is not legitimate because of non-compliance with the terms of this Membership Agreement, including but not limited to, that You are a person and that You have a single account, We may contact You to request additional information including, but not limited to a valid credit card number with a recognized credit card. This information will be used for legitimate purposes related to verifying your identity. If You are contacted and fail to provide the information that THEBESTLADYBUGHOUSE ™ legitimately requires to verify your identity, You agree that THEBESTLADYBUGHOUSE ™ may withhold any services or benefits to You until We receive that information. If We are unable to verify your identity, or non-compliance with the terms of this Membership Agreement is verified, We may cancel any services or benefits due to You.
Information Obtained from Advertisers, Merchants or Other Third Parties. Information about You may be collected by advertisers, merchants or other third parties as you click through advertisements or other links on our websites or other THEBESTLADYBUGHOUSE ™ services. Although We may not have direct access to this information stream, some of these entities may provide us with information about the promotions, products or services that You obtained from them. You agree and authorize these entities to share such information with the THEBESTLADYBUGHOUSE ™ . We will keep, protect and use such information within the terms of our Privacy Policy and this Membership Agreement.

Subject to any applicable law, You acknowledge and agree that We may require You to pay in advance the reasonable costs that We incur to provide such information and that We may implement reasonable procedural measures to confirm the identity of the member requesting access to Personal Data. You will be provided with information about such costs when You request your Personal Data, and You will be permitted to rescind your request prior to the time that We incur them.
You may object at any time to our processing of your stored Personal Data, provided however, that You agree that We shall terminate your Membership and cancel your account upon such request. Upon cancellation of your account, any accrued credits in your account will be deemed "unearned" and will be forfeited. Retention of Your Information. You agree that THEBESTLADYBUGHOUSE ™ may retain your Personal Data during such time as You are a member and for a period of time thereafter according to THEBESTLADYBUGHOUSE ™ 's policies with respect to retention of Personal Data then in effect. You consent to THEBESTLADYBUGHOUSE ™ 's destruction of your Personal Data at any time. Please consult our Privacy Policy for more information about our retention policies.
External Links. Our websites contain links to other companies and their websites. THEBESTLADYBUGHOUSE ™ is not responsible for and makes no representations about the privacy practices of such companies or the content of their websites.
Special Note About Children. 2. Updates to This Agreement. You agree that THEBESTLADYBUGHOUSE ™ may revise these terms from time to time. We will notify You of such revisions and provide You with the opportunity to review such revisions and to either accept or decline to accept the updated Membership Agreement. If You decline to accept the updated Membership Agreement, We shall terminate your Membership effective on the date that You decline to accept the updated Membership Agreement. If You neither accept or decline to accept, your failure to respond and continued participation as a member will be considered as consent to, and acceptance of, the modified terms.
3. Basic Requirements for Membership. To obtain and maintain your Membership and to participate in other services, You must continuously meet the following requirements and THEBESTLADYBUGHOUSE ™ reserves the right to terminate your Membership if You fail to meet or comply with the following requirements:
Important Age Requirements. By applying for Membership, You represent that You have met the following age requirements:
Japan: If You are under 20 years old and live in Japan, You must have the permission of your parent(s) or legal guardians to become a Member and to participate in other services. See our Parental Consent Form to find out how your parent(s) or guardian(s) can provide consent.
United States, Activated Territories, and Other Countries: If You are under 18 years old, You must have the permission of your parent(s) or legal guardian(s) to become a Member and to participate in other services. See our Parental Consent Form to find out how your parent(s) or guardian(s) can provide consent.
All Countries: You are not less than five years of age.
One Account Per Member. You must be a person (not a company or any other type of entity), You may only sign up once and You may maintain only one Membership ID.
Provide Accurate Information. You must provide THEBESTLADYBUGHOUSE ™ with valid, complete, and accurate name and email and residence information and may not impersonate another person or misrepresent any information. You agree to promptly update all such information should it change, or provide additional information should it be required by THEBESTLADYBUGHOUSE ™ for legitimate tax-related purposes or any other reason arising from applicable law.
Accounts are Not Transferable; Passwords. Your password and account are personal to You and are not transferable. You may not allow anyone else to use your password or account. You may not use any other person's password or account or act to accrue earnings for any other person's account. You are responsible for keeping your password secret, and You are responsible for any activity engaged by any person using your password, membership ID, or account. THEBESTLADYBUGHOUSE ™ is not liable for any loss or damage caused by any disclosure of your password or account. You may only create an account for yourself and may not establish an account on behalf of anyone else.
Comply with Laws and THEBESTLADYBUGHOUSE ™ Policies. You agree to comply with all of your local, state, province, country or regional legal restrictions that may be applicable to your Membership or participation in other services. Further, You agree to abide by all stated policies of THEBESTLADYBUGHOUSE ™ relating to your conduct as a Member, including but not limited to, our anti-spam policy, our trademark and license usage policy and our member referral policy. You agree that THEBESTLADYBUGHOUSE ™ may amend its policies from time to time.
4. Your Relationship with THEBESTLADYBUGHOUSE ™ . Your relationship to THEBESTLADYBUGHOUSE ™ is as a member of the THEBESTLADYBUGHOUSE ™ community. No employee-employer relationship is created by your Membership and use of other services. You have no obligation to surf the Internet or to use THEBESTLADYBUGHOUSE ™ 's services and You do not have any obligation to refer new members to THEBESTLADYBUGHOUSE ™ . THEBESTLADYBUGHOUSE ™ HAS NO OBLIGATION TO OFFER OTHER SERVICES OR OTHER PROMOTIONS TO YOU. EITHER PARTY MAY TERMINATE THE RELATIONSHIP FOR ANY REASON OR NO REASON AS SET FORTH HEREIN.
You agree that You shall be fully responsible for any filing with your governmental authorities and making all payments related to income or other taxes, that result from anything of value that You receive from THEBESTLADYBUGHOUSE ™ pursuant to your Membership or this Membership Agreement. You also agree that THEBESTLADYBUGHOUSE ™ may withhold tax from payments to You if required to do so to comply with applicable tax regulations of governmental agencies in your country.
5. The Referral Program. If You are accepted by THEBESTLADYBUGHOUSE ™ to become a Member, You meet all the requirements set forth in this Membership Agreement, and You read, understand, and accept all of the terms and conditions of the Membership Agreement, You may refer other people to become members of THEBESTLADYBUGHOUSE ™ ("Your Referrals"). If You and Your Referrals become participants other THEBESTLADYBUGHOUSE ™ services (subject to the discretion of THEBESTLADYBUGHOUSE ™ , subject to the terms and conditions of the required service agreements and subject to Your Referrals and Extended Referrals acceptance of and compliance with required agreements), You will be entitled to receive certain benefits. No benefits are available to You or any other members for referral of third party businesses or individuals to THEBESTLADYBUGHOUSE ™ .
Monthly Time Limit May Change. The amount of time that will be credited to your account for You, Your Referrals, and Extended Referrals is limited by applicable Monthly Time Limits, and You agree that THEBESTLADYBUGHOUSE ™ may change (decrease or increase) the Monthly Time Limit at any time for any country or countries effective as of the posting of the new limit on the page setting forth the Monthly Time Limits and the Hourly Rates based on current currency values by the international exchange rate. You are responsible for checking the International Exchange Rates Table to obtain notice of any changes.
Hourly Rate May Change. The amount of money that will be credited to your account for each hour of Active Surfing by You, or for the Active Surfing of Your Referrals or Extended Referrals (the "Hourly Rate(s)") may vary. You agree that THEBESTLADYBUGHOUSE ™ may change (decrease or increase) any Hourly Rate at any time for any country or countries effective as of the posting of such new Hourly Rate(s) on the International Exchange Rates Table.
Members may not use Spam to Obtain Referrals. You must not use unsolicited email, usenet, message board postings or other similar methods of mass messaging ("Spam") to seek referrals. (Usenet and message board spam are messages sent or posted which are unrelated to the topic of discussion of the particular news group or message board or which are posted for the primary purpose of displaying your Member ID to solicit referrals.) The use of spam to promote THEBESTLADYBUGHOUSE ™ or other services has strict negative consequences. You agree that THEBESTLADYBUGHOUSE ™ may terminate your Membership or the Membership of any member who in THEBESTLADYBUGHOUSE ™ 's reasonable opinion has used unsolicited email to attempt to gain referrals (a "Spammer"). You further agree that THEBESTLADYBUGHOUSE ™ will also sever the branch of the "referral tree" made up of all direct and extended referrals obtained by the Member using Spam. The branch accounts (those under the Spammer) will not be terminated, but no Member above the Spammer on the referral tree will benefit (i.e. receive credit) from them. In addition, You may be subject to state and federal penalties or other legal consequences under applicable law if You send unsolicited email. Our Anti-Spam Policy provides more details and is incorporated into this Agreement. You agree that We may publish your Member ID if your account is terminated for spam or other breach of this Membership Agreement.
Marketing Claims. You agree not to make any misrepresentations to any of Your Referrals or potential Referrals with respect to compensation typically received by Members or with respect to compensation that potential Members are likely to receive, and to fully comply with all applicable laws related to multi-level marketing programs.

If You place a link to an THEBESTLADYBUGHOUSE ™ website, THEBESTLADYBUGHOUSE ™ grants You a limited license to use the THEBESTLADYBUGHOUSE ™ trademarks and trade name only in the manner that is set forth and described on the webmaster Program page at www.TheBestLadyBugHouse-webmaster-bloggers.com and solely for the purpose of seeking legitimate referrals to THEBESTLADYBUGHOUSE ™ and other services. This license is subject to the terms and conditions of our Trademark Usage Policy and License, set out on the webmaster Program page which may be varied by THEBESTLADYBUGHOUSE ™ from time to time. Improper use of the trademarks and/or trade name of THEBESTLADYBUGHOUSE ™ is strictly prohibited and THEBESTLADYBUGHOUSE ™ may terminate your Membership or cancel your account if You violate our Trademark Usage Policy and License.
6. Your Relationship with Advertisers. Your relationship with merchants, advertisers or other third party businesses displayed on or linked to any of our websites or through other services, including payment for and delivery of related goods or services, entry into and operation of promotions, discounts or contests, and any other terms, conditions, warranties or representations associated with such dealings, are solely between You and such merchant, advertiser or third party business. You understand and agree that THEBESTLADYBUGHOUSE ™ does not endorse, recommend, authenticate or warrant any product, offer or service offered by any merchant or advertiser on any of our websites or through other services. You agree not to claim or assert that THEBESTLADYBUGHOUSE ™ is liable to you or any third party for any loss or damage of any sort incurred as the result of any such dealings, or as the result of the content provided by such merchants, advertisers or third party businesses through any of our websites or other services.
7. Disclaimer of Warranties. YOU EXPRESSLY AGREE THAT USE OF ANY THEBESTLADYBUGHOUSE ™ WEB SITE, AND OTHER SERVICES, IS AT YOUR SOLE RISK. OTHER SERVICES AND SOFTWARE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THEBESTLADYBUGHOUSE ™ MAKES NO WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH ANY OF OUR WEB SITES, OTHER SERVICES OR ANY TRANSACTIONS ENTERED INTO THROUGH THE FOREGOING.

TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, NEITHER THEBESTLADYBUGHOUSE ™ NOR ANY OF ITS MEMBERS, SUBSIDIARIES, AFFILIATES, SERVICE PROVIDERS, LICENSORS, OFFICERS, DIRECTORS OR EMPLOYEES SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THIS MEMBERSHIP AGREEMENT, RESULTING FROM THE USE OR THE INABILITY TO USE OTHER SERVICES OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES, RESULTING FROM ANY COSTS INCURRED BY A MEMBER IN ATTEMPTING TO OBTAIN REFERRALS, OR RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH ANY THEBESTLADYBUGHOUSE ™ WEB SITE OR OTHER SERVICES OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNLESS PROHIBITED BY LAW IN YOUR COUNTRY OR JURISDICTION, IF YOU ARE DISSATISFIED WITH THEBESTLADYBUGHOUSE ™ , ITS SERVICES OR PROMOTIONS AVAILABLE THROUGH MEMBERSHIP, YOUR SOLE AND EXCLUSIVE REMEDY IS TO CANCEL YOUR MEMBERSHIP.
9. Force Majeure. Neither party will be in default or otherwise liable for any delay or failure in its performance under this Membership Agreement where such delay or failure arises by reason of an Act of God, or any government or governmental body, acts of war, the elements, strikes or labor disputes, power or system failures, failure of the Internet, computer hacking, or other causes beyond the control of such party.
10. Cancellation and Termination of Membership.
Either Party May Cancel at Any Time. THIS MEMBERSHIP AGREEMENT IS AN AT-WILL AGREEMENT MEANING THAT EITHER PARTY MAY TERMINATE OR END THE RELATIONSHIP, INCLUDING ANY RIGHTS, DUTIES OR OBLIGATIONS AT ANY TIME AND FOR ANY REASON OR NO REASON UPON NOTICE AS SET FORTH HEREIN. You may terminate your Membership at any time without prior notice by notifying THEBESTLADYBUGHOUSE ™ cancelmembership@THEBESTLADYBUGHOUSE.com, If later wish to re-enroll, You will be assigned a new Member ID, You may have to wait for activation of other services along with other new members, and You will not receive any credit for referrals made using your previous account. You agree that THEBESTLADYBUGHOUSE ™ may terminate this Membership Agreement upon reasonable notice for any reason or no reason.
Termination of Your Account For Cause. To the full extent allowed by applicable law, THEBESTLADYBUGHOUSE ™ may suspend or terminate your Membership without prior notice for cause, particularly including, but not limited to: (a) any material violation of any provision of this Membership Agreement, including any misrepresentation of your name, residence address, email address or other required information; (b) tampering with, or otherwise aiding in or promoting circumvention of other services; (c) acting against the business interests or reputation of THEBESTLADYBUGHOUSE ™ despite a written warning; (d) otherwise acting in violation of applicable law in any manner related to the terms and conditions of this Membership Agreement or THEBESTLADYBUGHOUSE ™ , the THEBESTLADYBUGHOUSE ™ websites, or other services, or any content provider to the website or other service; (e) material breach of our spamming policy; or (f) any other reason which in the discretion of THEBESTLADYBUGHOUSE ™ is contrary to the interests of the THEBESTLADYBUGHOUSE ™ community.
Re-enrollment. If your account is terminated by THEBESTLADYBUGHOUSE ™ for any reason, You may not re-enroll or join under a new account unless formally invited to do so by THEBESTLADYBUGHOUSE ™ .
Credits Upon termination of your account for any reason, including your decision to terminate this Membership Agreement for any reason, any accrued credits in your account will be deemed "unearned" and will be forfeited. You agree that all amounts credited to the your account that are earned in violation, or after violation, of the Agreement or are otherwise unlawfully obtained by You are null and void. Similarly, THEBESTLADYBUGHOUSE ™ will have no obligation to pay You for amounts credited to your account that are earned in violation, or after violation, of the Member Agreement by Your Referrals or Extended Referrals.
11. Governing Law and Other Terms. Any action related to this Membership Agreement will be governed by Hong Kong law, excluding (1) principles of conflicts of laws, and (2) the United Nations Convention on Contracts for the International Sale of Goods. Any action relating to this membership Agreement shall be brought in the courts located in Hong Kong S.A.R. P.R.C., and You hereby submit to the jurisdiction and venue thereof. You agree to comply with the laws of Hong Kong that apply to your Membership and the use of other services and the compensation You may receive. If the law of your country, state, or province of residence prohibit or limit your participation as Member, then You are responsible for complying with such laws and You agree to indemnify THEBESTLADYBUGHOUSE ™ against any breach by You.
If any part of this Membership Agreement is held to be unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remainder will remain in full force and effect. This Membership Agreement is personal to You and You may not transfer, delegate, or assign this Membership Agreement, Your Referrals or Extended Referrals, your THEBESTLADYBUGHOUSE ™ account or other benefits you receive as an THEBESTLADYBUGHOUSE ™ Member to anyone, and any attempt to do so shall be null and void. THEBESTLADYBUGHOUSE ™ may assign this Agreement at its sole discretion.
This Membership Agreement constitutes the entire agreement between You and THEBESTLADYBUGHOUSE ™ in connection with general membership in THEBESTLADYBUGHOUSE ™ and supersedes all prior agreements between the parties regarding the subject matter contained herein.
